Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you (an individual or the organization you represent, "you" or "Customer") and Pricesenz LLC ("Company", "we", "our", or "us") governing your access to and use of Compass (https://compass.pricesenz.com) and all related services, APIs, reports, and content (collectively, the "Service").

Please read these Terms carefully. By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, do not access or use the Service.

1. Acceptance of Terms

By (a) clicking "I agree" or a similar button, (b) registering for an account, (c) submitting a QuickScan or evaluation request, or (d) otherwise accessing or using the Service, you represent that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have the legal authority to bind that organization and that the organization agrees to these Terms. In that case, "you" and "Customer" refer to that organization.

2. Eligibility

To use the Service you must be at least 18 years of age and, if acting on behalf of an organization, be authorized to enter into contracts on that organization's behalf. The Service is primarily designed for public sector entities in the United States and organizations that operate websites accessible to the public. We reserve the right to refuse Service to anyone for any lawful reason.

3. Service Description

Compass is a web accessibility compliance evaluation platform that provides:

  • QuickScan: Free, no-account automated accessibility scan of a single webpage, with AI-assisted findings delivered by email.
  • Full Site Audit: Multi-page accessibility scan, AI triage, certified analyst review, and a PDF evidence report.
  • Continuous Monitoring: Scheduled rescans with regression alerts (subscription plan feature).
  • Vendor Accountability Workflow: Finding assignment, ticket tracking, and remediation progress reporting (subscription plan feature).

Compass reports are informational outputs based on automated scanning and human analyst review. They are not legal advice and do not constitute a legal opinion or certification of ADA compliance. You are solely responsible for decisions made in reliance on Service outputs.

We may modify, suspend, or discontinue features of the Service at any time with reasonable notice to active subscribers, except in emergencies requiring immediate action.

4. Accounts

4.1 Registration

Certain features of the Service require you to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up-to-date.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at legal@pricesenz.com of any unauthorized use of your account. We are not liable for losses resulting from unauthorized use of your account where you failed to take reasonable precautions.

4.3 Organizational Accounts

If your account is associated with an organization, your organization's administrators may control your access, permissions, and data. The organization is responsible for the activities of all users within its account.

5. QuickScan

The QuickScan feature allows anyone to submit a publicly accessible URL for a free, automated accessibility evaluation without creating an account. By submitting a URL for QuickScan, you represent that:

  • You own or are otherwise authorized to request scanning of the submitted URL.
  • The URL is publicly accessible and does not require authentication to retrieve.
  • You will not submit URLs containing illegal content or URLs for the purpose of attacking or probing third-party systems.
  • You consent to receiving the scan result by email at the address you provide.

We reserve the right to rate-limit, hold, or reject QuickScan submissions that appear abusive, spam-like, or directed at URLs we cannot reasonably process.

6. Subscriptions and Billing

6.1 Subscription Plans

Access to paid features requires a subscription. Current plan details, pricing, and included feature entitlements are described on our pricing page or in your order documentation. Plans are billed in advance on a monthly or annual basis as elected at purchase.

6.2 Payment

All payments are processed by Stripe, Inc. You authorize us to charge your payment method for all fees due. All fees are stated in U.S. dollars and are exclusive of applicable taxes unless stated otherwise. You are responsible for all taxes applicable to your purchases.

6.3 Automatic Renewal

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel at any time through your account dashboard or by contacting support. Cancellation takes effect at the end of the current billing period; no partial-period refunds are issued for mid-period cancellations.

6.4 Free Trials

If we offer a free trial, usage during the trial period is governed by these Terms. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel before the trial expires.

6.5 Refunds

Except as required by applicable law or at our sole discretion, all fees are non-refundable. Requests for refunds due to billing errors or service outages exceeding our documented uptime SLA (if any) should be directed to legal@pricesenz.com.

6.6 Price Changes

We may change subscription prices by providing at least 30 days' prior notice to active subscribers by email. Continued use of the Service after the effective date of a price change constitutes acceptance of the new price.

7. Acceptable Use Policy

You agree not to use the Service to:

  • Scan URLs you do not own or are not authorized to evaluate.
  • Probe, attack, or conduct security testing against third-party systems.
  • Submit malicious URLs designed to exploit our scanning infrastructure.
  • Circumvent rate limits or authentication through automated means.
  • Resell or sublicense the Service without our written authorization.
  • Use the Service in a manner that violates any applicable federal, state, or local law or regulation.
  • Attempt to decompile, reverse engineer, or disassemble any component of the Service.
  • Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
  • Access the Service in a way designed to scrape, harvest, or aggregate data for competitive intelligence purposes.
  • Misrepresent your identity or authority when submitting scan requests or requests for evaluation.

Violation of this Acceptable Use Policy may result in immediate account suspension or termination and may subject you to civil or criminal liability.

8. Intellectual Property

8.1 Our Property

The Service and its original content, features, functionality, source code, algorithms, AI models, trademarks, logos, and branding are and will remain the exclusive property of Pricesenz LLC and its licensors. These Terms do not grant you any right, title, or interest in or to the Service beyond the limited license described herein.

8.2 Limited License to Use the Service

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

8.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant us a worldwide, royalty-free, perpetual, irrevocable license to use and incorporate such Feedback into the Service without obligation or compensation to you.

8.4 Reports

Accessibility reports generated by the Service in connection with your account are licensed to you for internal use, sharing with your organization's legal counsel, and submission to applicable oversight authorities. You may not resell or commercially distribute reports generated from scans you did not commission.

9. Your Content

"Your Content" means URLs, organizational data, notes, and any other material you submit to the Service. You retain all ownership rights in Your Content. By submitting Your Content, you grant us a limited, non-exclusive license to process, store, and use Your Content solely to provide and improve the Service.

You represent and warrant that: (a) you own or have the necessary rights to submit Your Content; (b) Your Content does not infringe the intellectual property, privacy, or other rights of any third party; and (c) Your Content complies with these Terms and all applicable laws.

10. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure ("Confidential Information"). Each party will use the other party's Confidential Information only as necessary to perform its obligations or exercise its rights under these Terms and will protect it with at least the same degree of care used to protect its own confidential information, but not less than reasonable care. This obligation does not apply to information that: (a) is or becomes publicly known through no breach of this Section; (b) was already known to the receiving party without restriction; (c) is independently developed by the receiving party without use of the disclosing party's Confidential Information; or (d) is required to be disclosed by law or regulation after giving the disclosing party reasonable notice to seek protective relief.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (B) THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; (C) THE SERVICE WILL MEET YOUR REQUIREMENTS; OR (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

SCAN RESULTS AND REPORTS ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE LEGAL ADVICE, A LEGAL OPINION, OR A CERTIFICATION OF ADA, SECTION 508, OR WCAG COMPLIANCE. YOU SHOULD CONSULT QUALIFIED LEGAL COUNSEL BEFORE MAKING COMPLIANCE DETERMINATIONS OR REPRESENTATIONS.

SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF CERTAIN WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PRICESENZ LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OR ALL OF THE ABOVE MAY NOT APPLY TO YOU.

13. Indemnification

You agree to defend, indemnify, and hold harmless Pricesenz LLC and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) Your Content; (c) your use of the Service in violation of any applicable law or third-party right; or (d) your organizational account users' acts or omissions.

14. Termination

14.1 Termination by You

You may terminate your account at any time by cancelling your subscription and deleting your account through the account settings dashboard or by contacting us. Termination does not entitle you to a refund of prepaid fees.

14.2 Termination by Us

We may suspend or terminate your account and access to the Service immediately and without notice if: (a) you materially breach these Terms and fail to cure such breach within 10 days of notice; (b) you use the Service in a way that poses a security risk or legal liability to us or third parties; (c) you become insolvent or subject to bankruptcy proceedings; or (d) we are required to do so by law.

14.3 Effect of Termination

Upon termination, your right to access and use the Service ceases immediately. We will make your data available for export for 30 days following termination, after which we may permanently delete your data in accordance with our data retention practices. Sections 8, 10, 11, 12, 13, 15, 16, and 18 survive termination.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

16. Dispute Resolution

16.1 Informal Resolution

Before filing a formal claim, you agree to contact us at legal@pricesenz.com and attempt to resolve the dispute informally for at least 30 days.

16.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, conducted in Travis County, Texas, in English. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

16.3 Class Action Waiver

You waive any right to participate in a class action lawsuit or class-wide arbitration against Pricesenz LLC. All disputes must be brought in your individual capacity and not as a plaintiff or class member in any purported class action.

16.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent infringement of intellectual property rights or breaches of confidentiality.

17. Changes to These Terms

We may revise these Terms at any time. When we make material changes, we will post the updated Terms at https://compass.pricesenz.com/legal/terms and update the effective date. For active subscribers, we will additionally provide 30 days' notice by email before material changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Service and cancel your subscription before the effective date.

18. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy and any order documentation, constitute the entire agreement between you and Pricesenz LLC with respect to the Service and supersede all prior agreements and understandings.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
  • Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision.
  • Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
  • No Third-Party Beneficiaries: These Terms do not confer any rights or remedies on any third party.
  • Force Majeure: Neither party will be liable for delay or failure to perform obligations caused by circumstances beyond its reasonable control, including natural disasters, acts of government, power failures, internet outages, or pandemics.
  • Notices: Legal notices to Pricesenz LLC must be sent by email to legal@pricesenz.com. We may deliver notices to you at the email address associated with your account.
  • Export Control: You agree to comply with all applicable export control laws and regulations. You represent that you are not located in a country subject to a U.S. government embargo.
  • U.S. Government Rights: If you are a U.S. government entity, the Service is commercial computer software and related documentation subject to FAR 12.212 and DFARS 227.7202. Delivery of the Service is conditioned on the government entity's agreement to these Terms.
